Terms and Conditions

Welcome to Samadhan The Innovative Markets Pvt. Ltd.! By downloading, installing, or using our mobile application (the "App"), you agree to be bound by these Terms and Conditions (the "Terms"). Please read them carefully. (Website and App collectively referred to as the “Platform”).
1. Product and Services
Samadhan The Innovative Markets Pvt. Ltd. ("we," "us," or "our") offers an online and physical commerce platform that allows users ("you" or "your") to order multiple products from different category for use and consume.
We display product images, prices, weights, and names details of each product so far as available on our platform. Any warranty or guarantee applicable to the products is provided by the manufacturer. For issues related to manufacturing defects or quality, please contact the manufacturer directly using the customer care details on the product packaging and product types. The Company is not liable for any manufacturing defects or product performance.
Product images on the platform are representations only and may differ from the actual product shown in the app. Always check the physical product label and other details for accurate information on nutrition, usagability and other details before consumption and use. The actual product packaging may contain different information from what is shown on the platform.
The Company operates online and physical store business-to-consumer /reseller (sometimes) (B to B/C) model, and the products available on the platform. The Company developes its users team like Promotors, Women Groups, Common Users and Members and Offline users as well to provide its services.
The company can create multiple branches through out Nepal all might provide different products individually as per the locatoion of each particular branches. The users team also will be different in each branch from rest of the branches.
The Company reserves all the rights to remove, change, or add any categories and products on the platform at its sole discretion and the Company may provide its services in any areas as determined by the Company at its sole discretion.
2. Partnering and Branching:
Samadhan The Innovative Markets Pvt. Ltd. can provide its application to anyone who intends to run individual branch (available in application) in any localtion can do so under the related terms and conditions made for that particular branch in particular location in Nepal.
3. Eligibility to Use
The user must be at least 18 years old to use the plateform and services by using the plateform and the user represents and warrants that you meet this age requirement. However, if you are a minor, i.e. under the age of 18 years, you may use/access the plateform under the supervision of an adult parent or legal guardian “competent to contract” who agrees to be bound by these Terms.
You understand that by using the Platform or its services, you may encounter content that some users may find offensive, indecent, or objectionable. You agree to use the Platform at your own risk, and the Company will not be liable for any such content.
The use of the App is subject to compliance with all applicable laws and regulations in Nepal.
3. Account Registration
To access our services, you must create an account with accurate and complete information.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to notify us immediately of any unauthorized use of your account.
4. Payment-related Information
The accepted payment methods on the platform will be displayed during the purchasing process.
The Company uses/may use third-party vendors and service providers, including payment gateways, to process and manage payments and card information. These service providers may charge additional fees for their services.
In the case of Cash on Delivery (COD), you can pay using cash or QR code to the delivery service providers. Only after the payment is completed will the delivery partner hand over the order to you.
The Company shall not be responsible for any unauthorized transactions conducted on the platform using your payment methods. If you encounter any issues related to unauthorized transactions, you can contact the Cyber Bureau Nepal at email: cyberbureau@nepalpolice.gov.np.
5. Prices of Products
The prices of each product may vary due to various factors, and you can check the price on the Platform before placing an order.
By placing an order, you agree to pay the prices mentioned therein.
All Products listed on the Platform will be sold in Nepalese Rupees (NPR), either at Maximum Retail Price (MRP) (inclusive of all taxes) or at a discounted price unless otherwise specified.
The prices of the Products may be modified from time to time.
6. Delivery
The Company shall provide delivery of the Products upon purchase during the time period communicated to you through the Platform. The Company endeavors to show the estimated delivery time for every order, but it does not guarantee delivery within the said time, as the exact delivery time may vary due to factors such as the availability of third-party delivery service providers, demand, traffic, weather conditions, force majeure events, etc.
The Company reserves the right to charge fees for rain, peak hours, very high demand, late-night deliveries, packing handling charges, convenience/platform fees, small cart fees, and any other applicable fees. These charges will be visible in the "view bill" section before you reach the checkout page on the APP or product description.
The delivery of the Products will be made to the delivery address specified by you when placing the order on the Platform. You are solely responsible for providing a complete and correct delivery address and any additional instructions for delivery.
The Company shall not be responsible for any delays in delivering the order caused by incorrect or incomplete delivery addresses provided by you.
7. Alcoholic Beverages and Tobacco Products
The delivery of alcoholic beverages and tobacco products can only be made to you if you comply with the eligibility criteria prescribed under applicable law of Nepal.
The Company may request you to provide identification and age proof documents, such as a National ID card or citizenship, at the time of ordering and delivery of these products.
The Company will deliver the ordered alcoholic beverages and tobacco products only to the person from whose account the order has been placed, subject to verification at the time of delivery. The Company may refuse delivery in case of non-compliance with this requirement.
By accessing the alcoholic beverages and tobacco products category on the Platform, you represent that you comply with all eligibility criteria under applicable law, including the legal drinking age in Nepal.
8. Returns, Cancellations, and Refunds
You may return a product if it was delivered incorrectly or if it arrived substantially damaged or in poor quality. Please provide necessary proof, such as images, to support your claim.
Please check the products upon delivery and initiate an exchange or return with the necessary proofs on the platform. You may also contact our customer care for assistance to related branch you are logged in.
Note: No exchange or returns will be accepted if the product packaging is opened or if the product has been used or consumed, either partially or fully.
You may request an exchange or return of products purchased from our individual branched you are logged in, provided they are sealed, unopened, unused, and in their original condition, and the request is made on the same day of delivery. Requests for exchange or returns will not be accepted after the day of delivery.
We may ask you to dispose of the products for which a refund has been processed. In the case of an exchange, our delivery partner will give you the new item and take back the item to be exchanged. For returns, you may need to bring the items back to the related branch you are logged in.
You can cancel an order at any time before the Company accepts it without any charge. After acceptance, cancellations are not allowed.
The Company may cancel an order (fully or partially) due to product unavailability or other unforeseen reasons. In such cases, you will not be charged, and any payments made will be refunded.
Refunds for products eligible for return, as per these Terms, will be processed within ten (10) business days from the date we verify and confirm the refund request. The refund amount will be credited either to the original payment source as per the given information based on your preference. For COD orders, refunds will be issued as required.
9. Intellectual Property
All content, trademarks, logos, and other intellectual property used in the platform are the property of Samadhan The Innovative Markets Pvt. Ltd. or our licensors.
You may not use, reproduce, or distribute any content from the platform without our prior written consent.
10. Disclaimer of Warranties and Liability
The App and our services are provided "as is" without any warranties, express or implied. We do not warrant that the App will be error-free, secure, or available at all times.
To the fullest extent permitted by law, Samadhan The Innovative Markets Pvt. Ltd. shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the App or our services.
The Company will not be liable for any losses you incurred due to unauthorized use of your account or account information on the Platform, whether such use is with or without your knowledge.
11. Indemnification and Limitation of Liability
The App and our services are provided "as is" without any warranties, express or implied. We do not warrant that the App will be error-free, secure, or available at all times.
You agree to indemnify and hold harmless Samadhan The Innovative Markets Pvt. Ltd., its directors, officers, employees, and affiliates from any claims, liabilities, damages, and expenses arising from your use of the App or your violation of these Terms. The App even can block you if found violating terms and conditions or regulations but can reopen it if you provide consent on proper use of App on your request.
12. Termination
We may suspend or terminate your access to the App at any time without notice if you violate these Terms or if we suspect any fraudulent activity.
You may terminate your account at any time by contacting us. Upon termination, you must cease all use of the App.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Nepal. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Nepal.
14. Communications
By using the App, you consent to receive communications from us electronically, including emails, SMS, and notifications or direct phone calls and you may opt out of certain communications by updating your preferences in the App.
15. IP Infringement
If you believe that any content in the App infringes your intellectual property rights, please contact us at merosamadhan@gmail.com with detailed information. We will investigate and take appropriate action as required by law.
16. Advertisements
The App may display advertisements from third parties. We do not endorse or take responsibility for the content of these advertisements, and any dealings with advertisers are solely between you and the advertiser.
17. Changes to Terms
We reserve the all rights to modify these Terms and Condition at any time. Any changes will be effective upon posting the updated Terms in the App. Your continued use of the App after such changes constitutes your acceptance of the new Terms.
